Terms and Conditions Becoming Skilled

Article 1 - Definitions
1. Becoming Skilled: Becoming Skilled, established in Rotterdam, Chamber of Commerce number 77838130.
2. Client: the person with whom Becoming Skilled has entered into an agreement.
3. Parties: Becoming Skilled and Customer together.
4. Consumer: a Customer who is also an individual and who acts as a private person.
Article 2 - Applicability
1. These conditions apply to all offers, offers, activities, orders, agreements and
supplies of services or products by or on behalf of Becoming Skilled.
2. Becoming Skilled and the Customer can only deviate from these conditions if this has been agreed in writing.
3. Becoming Skilled and the Customer conclude the applicability of the general terms and conditions of the Customer or of
expressly express others.
Article 3 - Offers and quotations
1. Offers and quotations from Becoming Skilled are without obligation, unless explicitly stated otherwise.
2. An offer or quotation is valid for a maximum of 2 weeks, unless there is another period in the offer or quotation.
3. If the Customer does not accept an offer or quotation within the applicable term, the offer or quotation will lapse.
4. Offers and quotations do not apply to repeat orders, unless Becoming Skilled and the Customer agree in writing.
Article 4 - Acceptance
1. If a non-binding offer or offer is accepted, Becoming Skilled may still submit the quotation or offer within 3
withdraw days after receipt of the acceptance, without the Customer being able to derive any rights from this.
2. Oral acceptance of the Customer only connects Becoming Skilled, after the Customer has it in writing or electronically
confirmed.
Article 5 - Prices
1. Becoming Skilled uses prices in euros, excluding VAT and excluding any other costs such as administration or
shipping costs, unless agreed otherwise in writing.
2. Becoming Skilled may always change the prices of its services and products on its website and in other expressions.
3. Becoming Skilled and the Customer agree on a total amount as a target price for a service, unless otherwise in writing
is agreed.
4. Becoming Skilled may deviate up to 10% from the target price.
5. Becoming Skilled must inform the Customer in time why a higher price is justified, if the target price is more
than 10% higher.
6. The Customer may cancel the part of the assignment that exceeds the target price (plus 10%) if the
target price will be more than 10% higher.
7. Becoming Skilled may adjust prices annually.
8. Becoming Skilled will notify price adjustments to Customer prior to its entry.
9. A consumer may terminate the agreement with Becoming Skilled if he disagrees with the price increase.
Article 6 - Payments and payment term
1. Becoming Skilled may require a deposit of up to 50% of the agreed amount when entering into the agreement.
2. The Customer must have made a payment afterwards within 14 days after delivery.
3. The payment terms used by Becoming Skilled are fatal payment terms. This means that if the Customer does it
agreed amount has not paid no later than the last day of the payment term, he is automatically in default and in
is in default, without Becoming Skilled having to send a reminder or default to the Customer.
4. Becoming Skilled may make a delivery subject to immediate payment or require a security for
the total amount of the services or products.
Article 7 - Consequences of late payment
1. If the Customer does not pay within the agreed term, Becoming Skilled may
charge statutory interest of 8% per month for commercial transactions from the day that
the Customer is in default, whereby part of a month is counted for a whole month.
2. In addition, if the Customer is in default, he must pay extrajudicial collection costs and any compensation
to Becoming Skilled.
3. The collection costs are calculated on the basis of the Decree for compensation for extrajudicial collection costs.
4. If the Customer does not pay on time, Becoming Skilled may suspend its obligations until the Customer has paid.
5. In the event of liquidation, bankruptcy, attachment or suspension of payment on the part of the Customer, the claims are
from Becoming Skilled to the Customer immediately due and payable.
6. If the Customer refuses to cooperate with the execution of the agreement by Becoming Skilled, he still has to
pay the agreed price.
Article 8 - Right of suspension
1. The Customer hereby waives the right to terminate the fulfillment of any obligation arising from this agreement

Article 9 - Settlement
1. The Client waives his right to set off a debt to Becoming Skilled against a claim on Becoming
Skilled.
Article 10 - Insurance
1. The Customer must insure and keep insured the following matters against, among other things, fire, explosion and
water damage, and theft:
• delivered goods that are necessary for the execution of the underlying agreement
• Becoming Skilled cases that are present at the Customer
• items delivered under retention of title
2. At the first request of Becoming Skilled, the Client will make the policy of these insurance policies available for inspection.
Article 11 - Warranty
1. When the Client and Becoming Skilled have entered into an agreement with a service nature, it contains
for Becoming Skilled only an obligation to make an effort and therefore no obligation to achieve results.
Article 12 - Implementation of the agreement
1. Becoming Skilled carries out the agreement to the best of its knowledge and ability and according to the requirements of good workmanship.
2. Becoming Skilled may have the agreed services performed in whole or in part by others.
3. The execution of the agreement takes place in consultation and after a written agreement and payment of any
advance by the Customer.
4. The Customer must ensure that Becoming Skilled can start executing the agreement in time.
5. If the Customer does not ensure that Becoming Skilled can start in time, the resulting additional costs will occur
account of the Customer.
Article 13 - Provision of information by the Customer
1. The Customer will provide all information, data and documents that are relevant for the correct execution of the agreement in a timely manner
and available to Becoming Skilled in a desired form and manner.
2. The Customer guarantees the correctness and completeness of the information, data and documents made available, including
if they come from third parties, insofar as the nature of the agreement does not result otherwise.
3. When and insofar as the Customer requests this, Becoming Skilled returns the relevant documents.
4. Does the Customer not, in time or not properly, provide the information, data or information reasonably required by Becoming Skilled?

Article 14 - Duration of the service contract

2. After the period in paragraph 1 has expired, the agreement will be tacitly converted into an open-ended contract,

Article 15 - Cancellation of the service for a fixed period
1. The Customer cannot terminate an agreement for a service for a fixed period earlier than after 1 year.
2. After the minimum term of 1 year has expired, the Customer can terminate the agreement in paragraph 1 with a notice period of .
3. After the minimum term of 1 year has expired, a consumer can terminate the agreement in paragraph 1 with a notice period
of 1 month.
4. If the contract for a service has been entered into for less than 1 year, the agreement cannot be canceled in the meantime.
Article 16 - Intellectual property
1. Becoming Skilled retains all intellectual property rights to all designs, drawings, writings, carriers with
data or other information, quotations, images, sketches, models and models, unless otherwise agreed.
2. The Client may not exercise the intellectual property rights in paragraph 1 without prior written permission from Becoming
Show, make available or use Skilled to others.
Article 17 - Confidentiality
1. The Client keeps secret any information, in any form, that he receives from Becoming Skilled.
2. The same applies to all other information regarding Becoming Skilled that the Customer knows or can reasonably do
suspect that it is secret or confidential, or that he can expect to be distributed Becoming
Skilled can cause damage.
3. The Customer shall take all necessary measures to ensure that he keeps the information in paragraphs 1 and 2 secret.
4. The duty of confidentiality described in this article does not apply to information:
• which was already public before the Customer heard this information or which was later made public without it
was the result of a violation of the Client's duty of confidentiality
• which is made public by the Customer on the basis of a legal obligation
5. The obligation of professional secrecy described in this article applies for the duration of the underlying agreement and for a
period of 3 years after its end.
Article 18 - Penance clause
1. If the Client violates the article on confidentiality or intellectual property, he must comply with Becoming
Skilled pay an immediately due and payable fine for each violation.
2. If the Customer is a consumer, the fine in paragraph 1 is: € 1,000.
3. If the Customer is not a consumer, the fine in paragraph 1 is: € 5,000
4. In addition, the Customer must pay an amount of 5% of the applicable amount in paragraph 2 or 3 for each day that violation
continues.
5. The Customer must pay the fine in paragraph 1 without the need for a notice of default or legal proceedings. There is also a need

6. In addition to the fine in paragraph 1, Becoming Skilled may also claim compensation from the Customer.
Article 19 - Indemnification
1. Customer indemnifies Becoming Skilled against all claims of others related to Becoming
Skilled delivered products and / or services.
Article 20 - Complaints
1. The Customer must investigate a product or service provided by Becoming Skilled as soon as possible
shortcomings.
2. Does not respond to a delivered product or service provided to what the Customer does
should reasonably expect, the Customer must inform Becoming Skilled
within 1 month after determining the shortcoming.
3. A consumer must no later than 2 months after determining the
shortcoming Notify Becoming Skilled.
4. The Customer gives the most detailed description of the shortcoming, so that Becoming Skilled can do so
can respond appropriately.
5. The Customer must demonstrate that the complaint relates to an agreement between the Customer and Becoming Skilled.
6. When a complaint concerns ongoing work, the Customer cannot demand that Becoming Skilled other
will perform work then it has been agreed.
Article 21 - Notice of default
1. The Customer must notify Becoming Skilled in writing of any notice of default.
2. The Customer is responsible for ensuring that his notice of default actually reaches Becoming Skilled on time.
Article 22 - Liability of the Customer
1. When Becoming Skilled enters into an agreement with multiple Customers, each of them is jointly and severally liable for
compliance with the agreements in that agreement.
Article 23 - Liability Becoming Skilled
1. Becoming Skilled is only liable for damage that the Customer suffers if that damage is caused by intent or
conscious recklessness.
2. If Becoming Skilled is liable for damage, this only applies to direct damage related to the
execution of an underlying agreement.
3. Becoming Skilled is not liable for indirect damage, such as consequential damage, loss of profit or damage to third parties.
4. When Becoming Skilled is liable, this liability is limited to the amount incurred by a closed person
(professional) liability insurance is paid out. No insurance has been taken out or no amount of damage will be paid
the liability is limited to the (part of the) invoice amount on which the liability is paid
relates.
5. All images, photos, colors, drawings, descriptions on the website or in a catalog are only indicative and
cannot lead to any compensation, dissolution or suspension.
Article 24 - Expiry period
1. Any Customer's right to compensation from Becoming Skilled lapses 12 months after the event from which the
liability arises directly or indirectly. This does not exclude the provisions of Article 6:89 of the Dutch Civil Code.
Article 25 - Dissolution
1. The Customer may cancel the agreement if Becoming Skilled is imputably inadequate in the fulfillment of
its obligations, unless this deficiency does not justify the dissolution due to its special nature or minor nature
meaning.
2. If the fulfillment of the obligations by Becoming Skilled is still possible, dissolution can only take place
after Becoming Skilled is in default.
3. Becoming Skilled may cancel the agreement with the Customer if the Customer fulfills its obligations under the
agreement does not fully or not comply in time, or when Becoming Skilled has taken note of
circumstances that give him good reason to believe that the Customer will not fulfill his obligations.
Article 26 - Force majeure
1. In addition to Article 6:75 of the Dutch Civil Code, a shortcoming of Becoming Skilled by the Customer does not apply to Becoming
Skilled can be attributed when there is force majeure.
2. The force majeure situation in paragraph 1 also includes:
- a state of emergency such as a civil war or natural disaster
- default or force majeure of suppliers, deliverers or others
- power, electricity, internet, computer or telecom faults
- computer viruses -
strikes -
government measures -
transport problems -
bad weather conditions
- work stoppages
3. When a force majeure situation arises that prevents Becoming Skilled 1 or more obligations to the Customer
those obligations will be suspended until Becoming Skilled can meet.
4. From the moment that a force majeure situation has lasted at least 30 calendar days, both the Customer and Becoming are allowed
Skilled to cancel the agreement in whole or in part in writing.
5. Becoming Skilled does not have to pay a fee to the Customer in a force majeure situation, even if Becoming
Skilled benefits from this.
Article 27 - Change of agreement
1. When it is necessary for its execution to change a concluded agreement, the Customer and Becoming can
Skilled adjust the agreement.
Article 28 - Change in general terms and conditions
1. Becoming Skilled may change these terms and conditions.
2. Becoming Skilled may always make minor changes.
3. Becoming Skilled will discuss major changes with the Customer as much as possible in advance.
4. A consumer may cancel the underlying agreement in the event of a substantial change in the general terms and conditions.
Article 29 - Transition of rights
1. The Client cannot transfer any rights under an agreement with Becoming Skilled to others without written
permission from Becoming Skilled.
2. This provision counts as a clause with a legal effect as in Article 3:83 paragraph 2 of the Dutch Civil Code.
Article 30 - Consequences of nullity or voidability
1. If one or more provisions of these general terms and conditions prove to be void or voidable, this will have no effect
on the other provisions of these conditions.
2. In that case, a provision that is void or voidable is replaced by a provision closest to
what Becoming Skilled had in mind when drawing up the conditions on that point.
Article 31 - Applicable law and competent court
1. These general terms and conditions and any underlying agreement between the Customer and Becoming Skilled are Dutch
law applicable.
2. The judge in the district of the place of business of Becoming Skilled has exclusive jurisdiction to hear about
any disputes between the Customer and Becoming Skilled, unless the law provides otherwise.
